PRODUCTION PACK

RENTAL AGREEMENT

Effective Date: June 29, 2026

This Production Pack Services Agreement (“Agreement”) is a legally binding contract between Losco Studios LLC, a New Jersey limited liability company doing business as Cosmo Losco Films, with its principal office located at 29 N Davis St, Woodbury, NJ 08096 (“Studio,” “Lessor,” “we,” “us”), and the individual or entity completing the online checkout process (“Client,” “Lessee,” “you”).

By finalizing your payment and checking the acknowledgment boxes at checkout, you unconditionally agree to be bound by all the terms and conditions set forth below.

I. Equipment & Package Scope

The rented asset package (“Equipment”) refers to the physical camera hardware, batteries, power accessories, memory storage cards, transport cases, instructional media, and any supplemental add-ons (such as tripods or wireless microphone kits) selected by the Client during the online checkout process.

II. Rental Timeline, Logistics & Shipping Bounds

  1. Rental Window: The standard rental period spans seven (7) consecutive days, initiating on the scheduled carrier shipment date and concluding on the designated return date specified in your order summary. Special multi-event packages (e.g., The Feature or The Blockbuster) extend across the designated weekend parameters as detailed at checkout without incurring secondary base rental fees.

  2. Extensions: Additional rental days may be procured at a rate of $25 per day, provided such extensions are requested and approved prior to outbound studio shipment.

  3. Geographic Limitations: The Equipment is available for shipment exclusively within the contiguous United States (the lower 48 states and Washington D.C.). Due to federal aviation safety regulations governing lithium-ion battery transport, the Studio does not ship to Alaska, Hawaii, international locations (including Canada and Mexico), standard APO/FPO/DPO military addresses, or U.S. territories (including Puerto Rico, Guam, and the U.S. Virgin Islands).

  4. Outbound Transit: All physical fulfillment is managed via the United States Postal Service (USPS). Outbound shipments are calculated based on your venue location to ensure delivery occurs approximately 1 to 2 days prior to the start of your official rental window. Automated tracking details will be generated upon carrier tender.

III. Retainer, Payment & Financial Authorizations

  1. Non-Refundable Retainer: 100% of the total order balance is due at the time of checkout. This payment serves as a non-refundable reservation retainer that immediately withdraws the specific Equipment from our available public inventory and guarantees your production dates.

  2. Card Authorization: You grant the Studio explicit authorization to maintain your credit card or payment method on file and to process charges or authorization holds for:

    • Accidental or structural damage to the Equipment.

    • Total retail replacement value for any unreturned, lost, or stolen items.

    • Specialized cleaning assessments if gear is returned with excessive biological or environmental soiling.

    • Daily penalties accrued under our Late Return Policy.

    • Outbound/inbound shipping recovery costs necessitated by logistics failures caused by the Client.

IV. Equipment Custody, Liability & Logistics Damages

  1. Client Custody: You assume complete operational custody and financial liability for the Equipment from the moment it is marked delivered by the carrier until it receives its initial return scan from the USPS. Physical drops, environmental damage, unapproved modifications, and theft fall under your financial responsibility.

  2. Unprotected Liability Rates: In the absence of an active Equipment Protection Plan, damage or total loss will be billed at full market repair or replacement values. Approximate baseline replacement benchmarks include: Camera body/rig: $1,400 | System batteries: $40 each | Memory cards: $40 each | Studio accessories: $15–$90 each.

  3. In-Transit Protection: Any equipment degradation occurring while the package is in the active possession of our shipping carrier during outbound transit is the sole responsibility of the Studio. If your package arrives structurally compromised, you must report the damage to production@loscostudios.com within twenty-four (24) hours of carrier delivery to secure a replacement unit.

V. The Equipment Protection Plan (Damage Waiver)

Clients may elect to add an optional $50 Equipment Protection Plan during checkout.

  1. The Cap: If active, this protection plan caps your maximum out-of-pocket exposure at a flat two hundred fifty U.S. dollars ($250) for covered, accidental physical mishaps during normal operational use. The Studio absorbs all financial repair balances exceeding this deductible amount.

  2. Exclusions: This plan strictly excludes instances of gross negligence (such as full liquid submersion), theft from unlocked or unattended vehicles/venues, total asset disappearance, intentional destruction, or the loss of micro-consumables (such as lens cloths, cables, or manual prints).

VI. Return Shipping Protocols & Overdue Fees

  1. Return Drop-Off: A prepaid USPS return shipping label is provided inside your production kit. The Client is required to deposit the secure transport box at an authorized USPS location or hand it to an active postal carrier no later than 11:59 PM local time on the final day of the rental window.

  2. Loss-of-Use Charges: Equipment not scanned by the carrier within the designated timeline will incur an immediate Loss-of-Use assessment of $50 per day, accumulating daily on top of any structural penalties.

  3. Presumed Abandonment: If the Equipment fails to receive an active carrier tracking scan within fourteen (14) calendar days following your scheduled return date, the kit will be classified as legally abandoned, and your payment method on file will be charged the full retail replacement value of the entire production kit.

VII. Rescheduling & Cancellation Policy

Because our inventory is finite and booked far in advance, all reservation retainers paid at checkout are entirely non-refundable. The Studio cannot issue refunds for cancellations stemming from date shifts, event cancellations, personal emergencies, inclement weather, or illness.

However, we will make a good-faith effort to accommodate schedule changes without penalty up to fourteen (14) calendar days prior to your original shipping date, subject to equipment availability within The Production Pack Series.

VIII. Permitted Use & Hardware Restrictions

  1. Personal Use Only: The Equipment is provided solely for personal, non-commercial event documentation. You are strictly prohibited from subleasing, renting, loaning, or commercially exploiting the gear with third parties.

  2. Tampering: You may not disassemble, mechanically alter, modify, or attempt to re-flash or adjust the internal firmware or physical architecture of the Equipment. Any unauthorized hardware modification immediately voids all protection plan benefits and constitutes a material breach of this contract.

IX. Post-Production, Delivery & Artistic Expectations

  1. Fulfillment Timeline: Your professionally curated highlight film and organized digital raw footage assets will be delivered simultaneously via a secure digital link approximately 3 to 5 weeks following the Studio’s physical receipt and verification of the returned Equipment.

  2. Base Packages: Custom entries (such as standalone or basic archival packages) receive organized raw media assets only. Creative post-production and editing services may be purchased à la carte following delivery.

  3. Footage Dependency: The Studio utilizes commercially reasonable, professional editorial standards to shape your film. However, the technical quality of the final cut is fundamentally dependent on the quality of the raw source media captured by your guests. The Studio bears no liability for final films impacted by poor framing, focus dropouts, inadequate lighting, environmental noise audio corruption, or user-operator error.

X. Marketing & Media Promotional License

  1. Grant of Rights: By utilizing our services, the Client grants to Losco Studios LLC (DBA Cosmo Losco Films), its legal representatives, successors, and corporate assigns, an irrevocable, worldwide, royalty-free, perpetual license to utilize, reproduce, display, broadcast, modify, and distribute the audio and video footage captured via our Equipment (“Client Footage”).

  2. Permissible Channels: This usage includes, but is not limited to, online portfolios, commercial website hosting, social media marketing channels, digital advertisements, industry blogs, and vendor collaborations.

  3. Liability Release: You release and hold harmless the Studio from any claims of defamation, privacy invasion, right of publicity violations, or royalty demands brought by you or any third-party attendees appearing within the Client Footage. You warrant that you have obtained necessary consent from your guests regarding event filming.

  4. Privacy Opt-Out: If you require your footage to remain completely confidential and excluded from our marketing library, you must issue a formal written request via email to production@loscostudios.com prior to the delivery of your final files using the subject line "Marketing Opt-Out - [Order ID]". A corporate privacy administrative fee of $500 (USD) applies and must be settled before the footage is restricted. Opt-out parameters cannot be applied retroactively to media already integrated into active public ad campaigns.

XI. Creative Discretion & Non-Guarantee of Specific Captured Content

  1. Artistic Style: You acknowledge familiarity with our public design profile, editing pace, and cinematic approach. Complete creative control over the final film—including music selection, pacing, shot filtering, audio leveling, and structural inclusions or exclusions—remains entirely with the Studio.

  2. No Content Guarantees: Because the Studio is not physically present to film the event, we provide no guarantee that any individual moment, vow, dance, guest reaction, or event detail will appear in the final edit. Dissatisfaction with creative styling, music choices, or missing source moments does not constitute a breach of contract, nor does it entitle the Client to refunds or re-edits beyond the single round of structural revisions included with your package.

  3. External Interference: The Studio is not accountable for environmental limits, vendor disruptions, or guest interferences that reduce the quality or volume of usable footage captured on set.

XII. COMPLETE LIMITATION OF LIABILITY — READ CAREFULLY

  1. Nature of Services: You recognize that post-production editing is a highly subjective, artistic process. The Studio provides no guarantees of specific emotional or aesthetic outcomes.

  2. Financial Liability Cap: Regardless of the legal theory asserted (including contract breach, basic or gross negligence, technical asset failure, data loss, shipping delays, or employee error), the absolute maximum aggregate liability of Losco Studios LLC for any claim arising under this relationship shall never exceed the exact dollar amount paid by the Client to the Studio for the specific order, excluding any previously assessed damage fees or late return penalties.

  3. Waiver of Sentimental Damages: You explicitly acknowledge that wedding memories and media hold an irreplaceable, emotional value that cannot be assigned a monetary figure. You waive all rights to pursue damages based on emotional distress, mental anguish, or the loss of sentimental value due to data or footage errors.

  4. Exclusion of Consequential Damages: Under no circumstances shall the Studio be liable for incidental, special, consequential, punitive, or reputational damages, including loss of future business opportunities or brand damage.

  5. Damaged or Unusable Media: In the event that raw footage is lost, corrupted, or made un-editable due to memory card failure, transit damage, technical errors, or studio processing problems, such an occurrence shall be treated as an partial limitation, not a material breach. Your sole remedy shall be a refund up to—but not exceeding—the original purchase price of the kit.

  6. Force Majeure Performance: If the Studio is prevented from fulfilling editing or shipping services due to acts of God, severe illness, facility equipment failure, labor shortages, or carrier strikes, we will attempt to source an equivalent alternative or defer fulfillment timelines. If resolution is impossible, our liability is strictly limited to a refund of the original order value.

  7. Attorneys' Fees: Each party is solely responsible for its own legal expenses. You expressly waive any right to recover attorneys' fees, court costs, or litigation expenses from the Studio, to the maximum extent permitted under New Jersey law.

XIII. Studio Indemnification

You agree to indemnify, defend, and hold harmless Losco Studios LLC, its officers, directors, employees, and independent contractors from any third-party claims, lawsuits, property damages, personal injuries, legal demands, or operational losses (including reasonable legal fees) arising out of or related to:

  • Your physical operation, misuse, or deployment of the Equipment on set.

  • Property damage or personal injury sustained by any guest or vendor interacting with the Equipment.

  • Copyright, trademark, or privacy infringement claims resulting from footage or music assets you deliver to us for processing.

XIV. Governing Law & Local Jurisdiction

This Agreement shall be interpreted, governed, and enforced strictly in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law doctrines.

In the event of a dispute that cannot be resolved through informal, good-faith discussions, both parties agree to submit the matter to formal mediation in Gloucester County, New Jersey. If mediation fails, exclusive legal venue for any litigation shall reside solely within the state or federal courts located in Gloucester County, New Jersey. You hereby consent to personal jurisdiction within this venue and waive any forum non-conveniens objections.

XV. General Contractual Provisions

  1. Assignability: This contract binds the parties and their respective heirs and successors. The Client may not transfer or assign this Agreement without express written studio consent. The Studio reserves the right to delegate editing tasks or logistical handling to qualified independent contractors or affiliates.

  2. Severability: If any clause, sentence, or section of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, that specific provision shall be limited or severed, and the remaining portions of the contract shall remain in full, unrestricted force.

  3. Entirety of Agreement: This document, alongside our unified Equipment Protection Plan, Late Return Policy, and checkout confirmations, represents the final and complete understanding between the parties, completely superseding any prior verbal discussions, emails, or marketing representations.

XVI. Lessee Age & Capacity Affirmation

By initiating this order, you affirm and warrant that you are at least eighteen (18) years of age and possess the full legal capacity to enter into a binding commercial contract. Our Production Packs are leased exclusively to legal adults. The Studio reserves the right to request proof of age via valid government identification prior to outbound shipment and may summarily cancel orders failing verification, issuing a basic refund. Minors are prohibited from accepting carrier delivery or handling return shipments without active adult supervision.

XVII. Service & Hardware Quality Guarantee

The Studio stands behind our hardware quality and outbound logistics. If, despite following our provided instruction materials in good faith, ALL of the following criteria are independently verified by our studio technical staff:

  • (a) The camera hardware arrives mechanically defective or structurally non-operational out of the box; OR

  • (b) You are entirely unable to record wedding footage due to verified component failure (and not due to guest operator error, incorrect ambient lighting choices, improper settings configuration, or failure to follow setup workflows); OR

  • (c) The outbound USPS package is verified lost or severely delayed by the carrier, missing your entire wedding weekend window despite the Studio tendering the package to the carrier on time;

Then the Studio will, at your discretion, either (i) issue a full refund of your rental fee, or (ii) apply an equivalent credit toward a future cinematic product line. This guarantee represents your sole and exclusive financial remedy for hardware or logistics failures.

XVIII. Digital Execution & Agreement Affirmation

By checking the authorization checkboxes at checkout and finalizing your electronic payment, you acknowledge that you have read this entire document, understand its financial implications, and intend your action to serve as your legally binding electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).
